Terms & Conditions

Last Updated: August 26th, 2026 These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Market Slayr LLC (“Company,” “we,” “us,” or “our”), governing your access to and use of the Market Slayr mobile application (the “App”) and related services (collectively, the “Service”).  By downloading, accessing, or using the App, creating an account, or participating in any features (including contests or prize opportunities), you agree to be bound by these Terms and our Privacy Policy (available in the App or at MarketSlayr.com. If you do not agree, do not use the Service.

1. Description of the Service

The App is a free-to-play game available on the Apple App Store. Users may play without payment. Subject to these Terms, eligibility rules, and applicable law, the Company may award cash prizes based on gameplay performance, skill, rankings, contests, or other criteria as described in the App or Official Rules for specific promotions.  The Service is provided for entertainment purposes. Apple Inc. and its affiliates are not sponsors, are not involved in any manner with the contests, prizes, or administration of the Service, and bear no responsibility for the Service or any prizes.

2. Eligibility

To use the Service and be eligible for cash prizes you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher).

  • Be a legal resident of a jurisdiction where the Service and cash-prize features are lawfully offered (the App uses geo-location and other methods to restrict access).

  • Not be a resident of, or located in, any jurisdiction where participation is prohibited by law (including certain U.S. states and territories where skill-based cash contests or similar activities are restricted; the Company maintains and updates an exclusion list) Current U.S. States excluded from participation are: Arizona, Arkansas, Connecticut, Delaware, Louisiana, South Dakota, Maine, Montana and Tennessee. 

  • Not be an employee, officer, director, contractor, or agent of the Company or its affiliates, or an immediate family member or household member of any of the foregoing.

  • Comply with all applicable laws and these Terms.

The Company reserves the right to verify eligibility, age, identity, location, and residency at any time (including via government-issued ID, address verification, or third-party services) and to disqualify any User or withhold prizes if eligibility cannot be confirmed. Void where prohibited.

3. Account Registration and Security

You may need to create an account. Provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms or appear compromised. One account per person; multiple accounts are prohibited.

4. Gameplay, Contests, and Official Rules

Specific game rules, scoring, rankings, contest formats, entry methods (all free), judging criteria, prize amounts, and selection methods will be presented in the App or in Official Rules for individual promotions.  For any contests: Official Rules will be available in the App, and it will be clearly stated that Apple is not a sponsor or involved in any way. Contests are sponsored solely by Market Slayr LLC.  Participation is free. No purchase or payment is necessary to play or to be eligible for prizes (subject to the specific Official Rules). The Company reserves the right to modify, suspend, or cancel any contest or prize feature at any time for any reason, including technical issues, legal requirements, or suspected fraud.

5. Prizes, Verification, Taxes, and Payment

  • Prize amounts, quantities, and conditions will be disclosed in the App or Official Rules. Prizes are awarded solely at the Company’s discretion subject to verification.

  • Winners must respond to notification within the stated timeframe, complete any required documentation (including tax forms such as IRS Form W-9 for U.S. persons), pass identity/KYC/anti-fraud checks, and comply with all conditions. Failure to do so may result in forfeiture and selection of an alternate winner.

  • Cash prizes will be paid via methods determined by the Company (e.g., electronic transfer, Venmo, or other processors). Processing times, fees (if any, disclosed in advance), and limits apply.

  • Taxes: You are solely responsible for all federal, state, local, and other taxes on any prizes. The Company may report winnings to tax authorities as required by law (e.g., IRS Form 1099-MISC or equivalent for amounts meeting thresholds) and may withhold taxes where required.

  • Prizes are non-transferable, non-exchangeable, and have no cash alternative except as determined by the Company. The Company is not responsible for lost, delayed, or misdirected payments once initiated in good faith.

  • The Company reserves the right to refuse, cancel, or claw back any prize in cases of fraud, violation of these Terms, technical error, or legal prohibition.

6. Prohibited Conduct

You agree not to:

  • Cheat, use bots, scripts, exploits, unauthorized third-party software, or collude.

  • Create multiple accounts, share accounts, or engage in fraudulent activity.

  • Interfere with the Service, other users, or servers.

  • Use the Service for any unlawful purpose or in violation of these Terms.

  • Attempt to reverse-engineer, scrape, or misuse the App.

  • Harass, abuse, or harm others.

Violation may result in immediate suspension/termination, prize forfeiture, and potential legal action.

7. Intellectual Property

The App, including all content, software, graphics, trademarks, and features, is owned by Market Slayr LLC or its licensors and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works.

8. User Content

If the App allows submissions (e.g., usernames, scores, feedback), you grant the Company a worldwide, royalty-free, perpetual license to use, reproduce, and display such content in connection with the Service. You represent that you own or have rights to any content you submit and that it does not infringe third-party rights or violate law.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share information (including location data for eligibility and device data). By using the Service you consent to those practices.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT PRIZES WILL BE AVAILABLE OR AWARDED IN ANY PARTICULAR INSTANCE.  We are not responsible for technical failures, network issues, device compatibility, or third-party services (including Apple’s App Store or payment processors).

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARKET SLAYR LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR ANY PRIZES, EVEN IF ADVISED OF THE POSSIBILITY.  OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT OF ANY PRIZE ACTUALLY AWARDED TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES THE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED.

12. Indemnification

You agree to indemnify, defend, and hold harmless Market Slayr LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, violation of these Terms, or violation of any law or third-party rights.

13. Termination

We may suspend or terminate your access to the Service (and forfeit pending prizes) at any time for any reason, including violation of these Terms, suspected fraud, or legal requirements. You may stop using the Service at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

14. Changes to These Terms

We may update these Terms at any time. Material changes will be notified via the App, email, or other reasonable means. Continued use after the effective date of changes constitutes acceptance. The “Last Updated” date will reflect revisions.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Nevada without regard to conflict-of-law principles.  Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively by binding arbitration administered by [e.g., AAA] under its Consumer Arbitration Rules, in Nevada, except that either party may seek injunctive or other equitable relief in court for intellectual property or unauthorized access claims. Class actions and jury trials are waived to the fullest extent permitted by law. Small-claims court actions are permitted where eligible.

16. Miscellaneous

  • If any provision is found unenforceable, the remaining provisions remain in full force.

  • These Terms, together with the Privacy Policy and any Official Rules, constitute the entire agreement between you and the Company regarding the Service.

  • Failure to enforce any right is not a waiver.

  • You may not assign these Terms without our consent; we may assign freely.

  • Headings are for convenience only.
